Terms of Use
Last updated: October 11, 2026
1. Acceptance
These Terms of Use ("Terms") govern access to and use of FlakeDesk, an AI-powered CRM platform operated by VentureCode ("we", "us"). By creating an account, accessing, or using FlakeDesk (the application at flakedesk.com and its subdomains), you ("user") agree to these Terms and to the Privacy Policy. If you use FlakeDesk on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. The service
FlakeDesk is a multi-tenant CRM software as a service (SaaS): management of contacts, companies, pipelines, follow-ups, calendar, messaging (including WhatsApp through the official Meta integration), an AI assistant, and team features. Each customer organization ("organization") has an isolated workspace with its own data, users, and settings.
3. Account and responsibilities
- Registration requires truthful and up-to-date information; the account is personal and non-transferable.
- You are responsible for keeping your credentials confidential and for all activity carried out with them; notify us immediately of any unauthorized use.
- Organization administrators manage invitations, roles, and permissions of the other users and are accountable for the actions of their team on the platform.
4. Plans, trial period, and payment
- Features and limits (users, contacts, companies, AI) vary by plan, as set out on the current plans page. Technical limits are enforced automatically by the platform.
- New organizations may receive a trial period with full features; at its end, if no plan is purchased, the account is adjusted to the Free plan and its limits.
- Paid plans are purchased through the official channels (website, sales team). When online billing is available, recurring payments are processed by a payment partner; non-payment may result in the suspension of features and, if it persists, in a downgrade to the Free plan, always with data preserved for the period set out in section 12.
- Prices, billing cycles, and commercial conditions are those disclosed at the time of purchase.
- Founding customer condition. When a subscription is purchased under the launch promotional condition ("founding customer"), billing remains at the promotional price for 12 (twelve) months counted from the confirmation of the first payment, on both the monthly and the annual billing cycle. On the annual cycle, the promotional price is charged in full upfront, with no installments. Once that period ends, the subscription is billed at the then-current list price with a permanent 20% (twenty percent) discount, maintained for as long as the subscription remains active and uninterrupted, including if the list price is adjusted in subsequent years. No price increase arising from this condition (whether the one at the end of the 12 (twelve) promotional months or any later adjustment of the list price in subsequent years) is charged without prior notice by e-mail to the organization administrator, at least 30 (thirty) days in advance and stating the exact amount that will be charged. The amount stated in that notice is the amount actually charged: if the list price changes again before the notice period has elapsed, a new notice is sent with the updated amount and the 30 (thirty) day period restarts from it, so that no charge is ever made for an amount other than the last one communicated to the administrator. Any reduction in the list price is applied immediately, regardless of prior notice. Changing plan (upgrade or downgrade) or billing cycle (monthly to annual or annual to monthly) does not terminate the founding customer condition. If the change is made within the 12 (twelve) months the condition is in force, the new plan or cycle is billed at the founding promotional price corresponding to it, keeping the same end date of the 12 (twelve) month period originally granted, without restarting the term. If the change is made after that period, the new plan or cycle is billed directly at the then-current list price with the permanent 20% (twenty percent) discount, without any charge at the full list price. A discount coupon applied at the time of purchase remains valid for the entire life of the subscription, including after the end of the founding promotional period and in subsequent list price adjustments, applying to the amount then due. Coupon discounts are not cumulative: a subscription holds a single coupon at a time, so that while a coupon is in force the application of another code is refused, and re-entering the same code does not generate an additional discount on the already reduced amount. The founding customer condition follows the subscription, not the payment history. Cancelling the subscription permanently terminates the founding customer condition and the corresponding permanent discount. Late payment (delinquency) on the same subscription, by itself, does not terminate the condition: once the overdue payment is settled, the subscription returns to active status with the founding condition fully preserved: the remainder of the promotional term or the permanent discount already earned continues to apply, exactly as before the delinquency. The condition is lost only when the subscription is actually cancelled, never because of a mere settled late payment. Any later purchase (whether after cancellation or as a new subscription replacing the previous one) is subject to the commercial conditions in force on that date, with no reuse of the seat or of the condition previously granted, even if founding customer seats are still open at the time of that new purchase.
5. Acceptable use
It is prohibited to use FlakeDesk for:
- illegal or fraudulent activities, or activities that violate third-party rights;
- sending spam or messages that do not comply with the policies of the integrated channels (including the WhatsApp/Meta policies) and with anti-spam and data protection legislation;
- attempting to circumvent technical, plan, or security limits, performing reverse engineering, scanning, or penetration testing without written authorization;
- reselling, sublicensing, or making the service available to third parties outside your organization without authorization;
- storing malicious content or data that you have no legal basis to process.
We may suspend accounts that violate this section, notifying the organization administrator whenever possible.
6. Organization data
- Data entered or received by the organization (contacts, companies, messages, attachments) belongs to the organization, which acts as the controller; FlakeDesk acts as the processor, under the terms of the Privacy Policy.
- We grant the organization a license to use the service; the organization grants us a limited license to host and process its data solely to operate FlakeDesk.
- The organization may export its data through the platform's features.
- Documents: the document storage feature has a storage quota defined by the subscribed plan; uploading files beyond the available quota is not permitted until the organization frees up space or subscribes to a plan with a larger quota. The organization is solely responsible for the content of the files it uploads, warranting that it holds the rights and legal basis required to store them and share them with its team. For security reasons, Microsoft Office files containing macros, ActiveX controls, or embedded objects are rejected on upload. A deleted document is kept in the trash for 30 days before permanent deletion.
7. Third-party integrations
Integrations (Meta WhatsApp Business Platform, Google, Microsoft, AI providers, payment partner) are subject to the terms of their respective providers. The unavailability of a third-party service does not constitute a breach on our part, although we make reasonable efforts to mitigate its impact.
8. Intellectual property
FlakeDesk, its brand, code, interfaces, and documentation are owned by VentureCode. These Terms do not transfer any intellectual property rights to the user beyond the license to use the service.
9. Privacy
The processing of personal data is described in the Privacy Policy and the Cookie Policy, which form an integral part of these Terms.
10. Availability and support
We use commercially reasonable efforts to keep the service available and secure. Scheduled maintenance will be announced when it entails significant unavailability. The service is provided "as is", with no guarantee of uninterrupted availability, unless a service level agreement (SLA) is contracted separately.
11. Limitation of liability
To the fullest extent permitted by law, our total liability for damages arising from the use of the service is limited to the amount paid by the organization in the 12 (twelve) months preceding the event. We are not liable for lost profits, data loss caused by third parties, or use of the service in breach of these Terms.
12. Term, termination, and data deletion
- These Terms remain in force for as long as there is an active account.
- The organization may close its account at any time; we may close it for breach of these Terms or upon discontinuation of the service (with reasonable prior notice).
- After closure, the organization's data remains available for export for 30 (thirty) days and is deleted within 90 (ninety) days, subject to legal retention obligations.
13. Changes to these Terms
We may update these Terms; material changes will be announced on the platform or by e-mail with reasonable notice. Continued use after the new version takes effect constitutes acceptance.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the judicial district where VentureCode has its registered office are elected as the exclusive venue, waiving any other, except where consumer-protection venue rules apply by law.
